1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," "you," or "your") and Digital Roxy ("Agency," "we," "us," or "our," or me "Faris Khalil"), a digital marketing agency registered and operating in the State of Palestine.
By accessing our website at digitalroxy.com, creating an account, subscribing to any service plan, purchasing any digital service, or otherwise using any service offered by Digital Roxy (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you do not agree to these Terms, you must not access or use our Services. If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.
These Terms are drafted in compliance with the Palestinian E-Commerce Law (Decree-Law No. 21 of 2025), the Palestinian Electronic Transactions and Trust Services Law (2024), and the Palestinian Consumer Protection Law.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Services" refers to all digital products, software solutions, SaaS platforms (including but not limited to Roxy Agent), consulting engagements, SEO services, software development, cyber security assessments, and any other offerings provided by Digital Roxy.
- "Platform" refers to the Digital Roxy website, web applications, APIs, and any associated software or tools.
- "Roxy Agent" refers to our AI-powered marketing operations platform that deploys specialized AI agents for client management.
- "Subscription" refers to any recurring service plan purchased by a User.
- "Content" refers to all data, text, reports, analyses, strategies, code, designs, and materials generated or provided through our Services.
- "User Data" refers to any data, information, or materials submitted by Users through the Platform.
- "Invoice" refers to the detailed billing document issued for every transaction, as required under Palestinian law.
3. Description of Services
Digital Roxy provides the following categories of digital services:
3.1 Roxy Agent (AI Marketing Operations Platform)
Roxy Agent is a SaaS platform that assigns specialized AI marketing agents to each of your clients. These agents perform marketing tasks including strategy development, SEO analysis, content creation, local SEO, analytics, and sales enablement. Service tiers include Growth, Professional, and Enterprise plans, each offering varying levels of client capacity, integrations, and support.
3.2 Software Development
Custom software development services including web applications, mobile applications, SaaS platforms, and API development. These are provided on a project basis following a detailed scope assessment and quotation.
3.3 SEO Services
Search engine optimization services including technical audits, link building campaigns, and monthly SEO management packages. Specific deliverables and timelines are outlined in each service tier.
3.4 Cyber Security Services
Security auditing, penetration testing, and managed security services. Scope, methodology, and deliverables are defined per engagement or subscription tier.
The specific features, deliverables, and limitations of each Service are described on the relevant service page on our website and in any applicable service agreement or order form.
4. Eligibility and Account Registration
4.1 Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction.
- Have the legal capacity to enter into a binding agreement.
- Provide truthful and accurate information during registration.
- Not be prohibited from using the Services under any applicable law.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify Digital Roxy at admin@digitalroxy.com of any unauthorized use of your account. Digital Roxy is not liable for any loss or damage arising from your failure to protect your account information.
4.3 Account Accuracy
You must provide accurate, current, and complete information during the registration process and keep your account information up to date. Providing false or misleading information constitutes a breach of these Terms and may result in immediate termination of your account, in accordance with Article 23 of the Palestinian E-Commerce Law.
5. Pricing, Payment, and Billing
5.1 Pricing
All prices for our Services are displayed on our website in United States Dollars (USD) and are inclusive of any applicable descriptions. Any applicable taxes, duties, or government-imposed fees are the responsibility of the User unless otherwise stated. Pricing is subject to change with reasonable prior notice. Active subscriptions will not be affected by price increases until the next billing cycle following notification.
5.2 Payment Methods
We accept the following payment methods through our secure payment gateway, provided by Bank of Palestine in compliance with the Palestinian National Payments Law (2022):
- Visa (Credit and Debit cards, local and international)
- Mastercard (Credit and Debit cards, local and international)
All card transactions are protected by 3D Secure (Verified by Visa / Mastercard SecureCode), which adds an additional layer of authentication to protect cardholders against unauthorized use. All payment data is transmitted over encrypted connections and processed through PCI-DSS Level 1 compliant infrastructure. Digital Roxy does not store, process, or have access to your full card number, CVV, or PIN at any time.
5.3 Billing Descriptor
Charges from Digital Roxy will appear on your credit or debit card statement as "DIGITALROXY" or "DIGITAL ROXY". If you do not recognize a charge, please check your purchase history in your account dashboard or contact admin@digitalroxy.com before initiating a dispute with your card issuer.
5.4 Invoicing
In compliance with the Palestinian E-Commerce Law (Article 11), a detailed invoice will be issued for every transaction. Each invoice includes the transaction reference number, service description, itemized pricing breakdown, applicable taxes, payment method used, transaction date, and Digital Roxy's full business information. Invoices are delivered electronically to the email address associated with your account and are accessible in your account dashboard.
5.5 Currency and Exchange Rates
All transactions are denominated in United States Dollars (USD). The total amount charged to your card is displayed at checkout before you confirm your purchase. If your card is denominated in a different currency (e.g., ILS, JOD, EUR), your card-issuing bank may apply its own exchange rate and foreign transaction fees. These fees are outside Digital Roxy's control and are not refundable by us.
5.6 Transaction Security and Authorization
Every payment transaction is authorized in real time through the card network (Visa/Mastercard) and your issuing bank. You may be required to complete 3D Secure authentication (a one-time passcode sent by your bank) to verify your identity. If a transaction is declined by your bank, no charge will be applied, and you will be prompted to use an alternative payment method or contact your bank.
5.7 Failed Payments
If a scheduled subscription payment fails, we will attempt to process the payment up to three (3) additional times over a period of seven (7) days and notify you via email after each failed attempt. If payment remains unsuccessful, we reserve the right to suspend or downgrade your access until the outstanding balance is settled. No late fees will be charged.
6. Subscription Plans and Cancellation
6.1 Subscription Terms
Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Each subscription period begins on the date of purchase and renews automatically at the end of each billing cycle unless cancelled in accordance with Section 6.2.
6.2 Cancellation
You may cancel your subscription at any time by:
- Navigating to your account dashboard and selecting the cancellation option.
- Contacting our support team at admin@digitalroxy.com.
Upon cancellation, your subscription remains active until the end of the current billing period. You will retain access to paid features through the remainder of your paid term. No partial refunds are issued for unused portions of a billing period unless required by applicable Palestinian consumer protection law.
6.3 Renewal
Subscriptions renew automatically at the then-current rate. You will receive a reminder notification at least seven (7) days before the renewal date. You may disable auto-renewal at any time through your account settings.
7. Refunds
Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. In summary:
- Subscription services may be eligible for a refund within fourteen (14) days of initial purchase if no substantial deliverables have been consumed or generated.
- Project-based services (software development, custom SEO, security audits) are subject to milestone-based refund terms as specified in the applicable service agreement.
- Approved refunds are processed within fourteen (14) business days to the original payment method.

8. Delivery of Digital Services
All services provided by Digital Roxy are digital in nature. No physical goods are shipped or delivered. The following defines when each service type is considered "delivered" for the purposes of billing, refunds, and dispute resolution:
8.1 SaaS Subscriptions (Roxy Agent)
Access to the Roxy Agent platform is granted immediately upon successful payment confirmation. The service is considered delivered when your account is activated and you can log in to the platform. Activation typically occurs within minutes of payment authorization.
8.2 SEO Services
- Technical Audit: Delivered when the audit report is made available in your account or sent via email.
- Link Building: Delivered progressively as links are placed and verified. A completion report is provided upon fulfillment of the contracted quantity.
- Monthly SEO: Delivered on a rolling monthly basis. Monthly deliverables and reports are provided within the billing period.
8.3 Software Development
Delivered in milestones as defined in your project agreement. Each milestone is considered delivered upon presentation of the deliverable for review. Final delivery occurs when the completed project is deployed or transferred to you.
8.4 Cyber Security Services
- Security Audit: Delivered when the audit report is made available to you.
- Penetration Testing: Delivered when the final test report is made available to you.
- Managed Security: Delivered on a continuous basis for the duration of the subscription. Service is active from the date security monitoring is configured on your infrastructure.
8.5 Confirmation of Delivery
For all service types, a confirmation email is sent upon delivery or activation. Digital delivery records (including timestamps, access logs, and email confirmations) are maintained and may be used as evidence of delivery in the event of a payment dispute.
9. User Obligations and Acceptable Use
8.1 Lawful Use
You agree to use the Services only for lawful purposes and in compliance with all applicable Palestinian laws, including the E-Commerce Law (Decree-Law No. 21 of 2025), and all other applicable local and international regulations.
8.2 Prohibited Activities
You shall not:
- Use the Services to transmit, distribute, or store material that violates any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or any systems connected to the Services.
- Interfere with, disrupt, or impose an unreasonable burden on the Platform's infrastructure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform.
- Use automated tools (bots, scrapers, crawlers) to access the Services without prior written authorization.
- Resell, sublicense, or redistribute the Services without Digital Roxy's express written consent.
- Upload, transmit, or submit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Use the Services to promote, sell, or advertise products prohibited under Palestinian law, including but not limited to those listed under the E-Commerce Law.
- Misrepresent your identity, affiliation, or the purpose of your use.
10. Intellectual Property
9.1 Digital Roxy's Intellectual Property
All intellectual property rights in the Platform, including the website design, software, algorithms, AI models, branding, logos, trademarks, documentation, and proprietary methodologies, are and remain the exclusive property of Digital Roxy. No license or right is granted to you except as expressly set forth in these Terms.
9.2 User-Generated Content
You retain ownership of any data, content, or materials you upload to the Platform. By submitting User Data, you grant Digital Roxy a limited, non-exclusive license to use, process, and store such data solely for the purpose of providing the Services.
9.3 Service Outputs
Content generated by our AI agents or delivered through our Services (reports, strategies, analyses, code, designs) is licensed to you for your use upon full payment. The specific license scope depends on your service plan:
- Subscription Services: You receive a non-exclusive, perpetual license to use outputs generated during your active subscription for your business purposes.
- Project-Based Services: Ownership and licensing terms are specified in each project agreement. Unless otherwise agreed in writing, you receive full ownership of custom deliverables upon final payment.
11. Data Protection and Privacy
Digital Roxy is committed to protecting your personal data in accordance with the Palestinian E-Commerce Law and applicable data protection principles. Our data collection, processing, and storage practices are detailed in our Privacy Policy, which forms an integral part of these Terms.
Key commitments include:
- We collect and process personal data only with your explicit consent and for specified, legitimate purposes.
- All user data is encrypted in transit and at rest using industry-standard encryption protocols.
- We do not sell or share your personal data with unauthorized third parties.
- Each user's data is logically isolated, ensuring complete privacy and confidentiality.
- We will promptly report any data breaches to affected users and relevant authorities as required by law.
12. Service Availability and Modifications
11.1 Availability
Digital Roxy strives to maintain 99.9% uptime for the Platform. However, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for temporary unavailability due to maintenance, updates, or circumstances beyond our reasonable control.
11.2 Service Modifications
We reserve the right to modify, update, or discontinue any feature or aspect of the Services at any time. Material changes that affect your subscription will be communicated with at least thirty (30) days' notice. If a modification materially diminishes the value of your subscription, you may cancel and receive a pro-rated refund for the unused portion.
13. Third-Party Services
Our Services may integrate with or link to third-party platforms and services, including but not limited to Google Analytics, Google Search Console, Slack, payment processors, and cloud infrastructure providers. These integrations are governed by the respective third-party terms of service. Digital Roxy is not responsible for the content, policies, or practices of any third-party services.
14. Disclaimer of Warranties
Except as expressly provided in these Terms, the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by Palestinian law, Digital Roxy disclaims all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability and fitness for a particular purpose.
- Warranties that the Services will be error-free, secure, or uninterrupted.
- Warranties regarding the accuracy or completeness of AI-generated content, recommendations, or analyses.
- Warranties regarding specific SEO ranking outcomes, traffic results, or business performance improvements.
AI-generated content and recommendations are provided as advisory tools. Users should exercise their own professional judgment and verify critical information before acting on any output.
15. Limitation of Liability
To the maximum extent permitted by applicable law:
- Digital Roxy's total aggregate liability for all claims arising from or related to the Services shall not exceed the total amount paid by you to Digital Roxy in the twelve (12) months preceding the claim.
- Digital Roxy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, regardless of the theory of liability.
- Digital Roxy shall not be liable for any actions, omissions, or failures of third-party service providers integrated with the Platform.
Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under Palestinian law, including liability for fraud, gross negligence, or willful misconduct.
16. Indemnification
You agree to indemnify, defend, and hold harmless Digital Roxy, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Services in violation of these Terms.
- Your breach of any representation or warranty in these Terms.
- Your violation of any applicable law or regulation.
- Any content or data you submit through the Platform that infringes the rights of a third party.
17. Termination
16.1 Termination by You
You may terminate your account at any time by contacting admin@digitalroxy.com. Upon termination, your access to the Services will cease, and your data will be handled in accordance with our Privacy Policy and applicable data retention requirements.
16.2 Termination by Digital Roxy
We may suspend or terminate your account immediately and without prior notice if:
- You breach any material provision of these Terms.
- You engage in fraudulent, unlawful, or harmful activity.
- Payment is not received after reasonable attempts to collect.
- Continued provision of Services would violate applicable law.
16.3 Effect of Termination
Upon termination, you may request a copy of your User Data within thirty (30) days. After this period, we may delete your data in accordance with our data retention policies. Sections 9, 13, 14, 15, 17, and 18 survive termination.
18. Dispute Resolution
17.1 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally. You may contact us at admin@digitalroxy.com with a detailed description of your concern. We will endeavor to respond within ten (10) business days and work toward a mutually acceptable resolution.
17.2 Complaint Procedure
In accordance with the Palestinian E-Commerce Law, we maintain a formal complaint procedure. You may submit complaints through:

All complaints will be acknowledged within five (5) business days and resolved within thirty (30) business days.
17.3 Mediation and Arbitration
If informal resolution is unsuccessful, the parties agree to submit the dispute to mediation before a mutually agreed-upon mediator in the State of Palestine. If mediation fails, disputes shall be resolved through binding arbitration in accordance with applicable Palestinian arbitration laws. The arbitration shall take place in Ramallah, Palestine, and shall be conducted in Arabic or English, as agreed upon by the parties.
17.4 Consumer Rights
Nothing in this dispute resolution clause restricts your right to file a complaint with the Palestinian Ministry of National Economy or seek remedies available under Palestinian consumer protection law.
19. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Palestine, including:
- The E-Commerce Law (Decree-Law No. 21 of 2025)
- The Electronic Transactions and Trust Services Law (2024)
- The National Payments Law (2022)
- The Palestinian Consumer Protection Law
Subject to the dispute resolution provisions in Section 17, any legal proceedings shall be brought before the competent courts of the State of Palestine.
20. Amendments and Modifications
Digital Roxy reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website with a revised "Last Updated" date. For material changes, we will provide notice via email or a prominent notice on the Platform at least fifteen (15) days before the changes take effect.
Your continued use of the Services after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the Services and cancel your subscription.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
22. Force Majeure
Digital Roxy shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, wars, armed conflicts, government actions, sanctions, pandemics, internet disruptions, power failures, cyberattacks, or acts of terrorism. In the event of a prolonged force majeure event (exceeding sixty (60) days), either party may terminate the affected Services with a pro-rated refund for any prepaid, unused period.
23. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and any applicable service agreements or order forms, constitute the entire agreement between you and Digital Roxy regarding the use of the Services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral.
